1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 16 years of age (or the minimum age required in your jurisdiction to consent to data processing) and that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using the Service on behalf of a minor (for example, as a parent or legal guardian), you accept these Terms on their behalf and are responsible for their use of the Service.

If you are accessing the Service on behalf of an educational institution or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

UniAtlas (operated by UniAtlas AI, Inc.) is an AI-powered technology platform that provides tools for researching universities and educational institutions, comparing academic programs, discovering scholarships, exploring career pathways, and planning academic applications. The Service includes, but is not limited to:

• University and institution search and discovery across 25,000+ institutions worldwide
• Side-by-side school comparison tools
• Scholarship search and eligibility assessment
• AI-powered essay assistance, career coaching, and admission insights (available to Premium and Professional subscribers)
• Application planning checklists and timeline management
• Student reviews and campus climate data
• Cost calculators and financial aid tools
• Learning Wallet for credential and skills tracking

The Service is provided for informational and educational purposes only. UniAtlas does not guarantee admission to any institution, receipt of any scholarship, or any particular academic or career outcome.

3. User Accounts

3.1 Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify us immediately of any unauthorized use of your account. UniAtlas is not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 One Account Per Person

Each individual may maintain only one account. Creating multiple accounts to circumvent restrictions, abuse promotional offers, or evade enforcement actions is prohibited.

4. Subscriptions and Payments

4.1 Subscription Tiers

UniAtlas offers multiple service tiers, including a free tier and paid subscription plans (Premium and Professional). Features, usage limits, and pricing for each tier are described on our Pricing page and may change from time to time.

4.2 Billing and Renewal

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method on file for recurring fees.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods, except where required by applicable law.

4.4 Price Changes

We reserve the right to change subscription prices. We will provide at least 30 days' advance notice of any price increase. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4.5 Free Trials

We may offer free trials of paid features. At the end of a trial period, your account will revert to the free tier unless you subscribe to a paid plan. We will not charge your payment method without your explicit consent.

5. AI-Powered Features

5.1 Nature of AI Services

Certain features of the Service use artificial intelligence and machine learning models provided by third-party providers (including but not limited to OpenAI, Anthropic, and Microsoft Azure AI). These features include essay assistance, scholarship eligibility assessment, career coaching, admission chance calculations, and AI-powered search.

5.2 AI Output Disclaimer

AI-generated content is provided for informational purposes only and should not be relied upon as professional advice. AI outputs may contain inaccuracies, biases, or errors. You are solely responsible for reviewing, verifying, and making decisions based on AI-generated content. UniAtlas does not guarantee the accuracy, completeness, or appropriateness of any AI-generated output.

5.3 Essay Assistance

The AI essay assistant is designed to help you brainstorm, draft, and refine your writing. Content generated by the AI assistant should serve as a starting point — not a final submission. You are responsible for ensuring that any work you submit to educational institutions is your own and complies with their academic integrity policies.

5.4 Eligibility and Admission Assessments

Scholarship eligibility assessments and admission chance calculations are estimates based on available data and AI analysis. They do not constitute guarantees of eligibility, admission, or any particular outcome. Actual decisions are made by institutions and scholarship providers based on their own criteria.

5.5 AI Data Processing

When you use AI-powered features, your inputs (such as essay drafts, academic profiles, and questions) may be transmitted to third-party AI providers for processing. We do not use your personal data to train third-party AI models. See our Privacy Policy for details on how your data is handled.

5.6 Usage Limits

AI features are subject to usage limits based on your subscription tier. These limits are designed to ensure fair access for all users and may be adjusted from time to time.

6. User-Generated Content

6.1 Your Content

You may submit content to the Service, including university reviews, essay drafts, profile information, and other materials ("User Content"). You retain ownership of your User Content, subject to the license granted below.

6.2 License Grant

By submitting User Content, you grant UniAtlas a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your User Content solely for the purpose of operating and improving the Service. For reviews and publicly shared content, this license extends to displaying the content to other users of the Service.

6.3 Content Standards

User Content must not:

• Contain false, misleading, defamatory, or fraudulent information
• Infringe the intellectual property or privacy rights of any third party
• Contain hate speech, harassment, threats, or discriminatory content
• Include spam, advertising, or unauthorized promotional material
• Violate any applicable law or regulation

6.4 Content Moderation

We reserve the right to review, edit, or remove any User Content that violates these Terms or that we consider harmful, inappropriate, or objectionable, at our sole discretion and without prior notice.

7. Data Accuracy and Disclaimers

7.1 Institutional Data

UniAtlas aggregates data from publicly available sources including government databases, institutional websites, and third-party data providers. While we make reasonable efforts to ensure the accuracy of information displayed on the platform, we do not guarantee that university rankings, tuition figures, admission statistics, program details, or any other institutional data is accurate, current, or complete.

7.2 Scholarship Information

Scholarship details including eligibility criteria, award amounts, and deadlines are sourced from publicly available information and may not reflect the most current information. Always verify scholarship details directly with the awarding organization before applying.

7.3 Financial Estimates

Cost calculations, net price estimates, and financial aid projections are approximations based on available data. Actual costs may vary significantly. Contact institutions directly for official financial information.

7.4 No Professional Advice

The Service does not constitute legal, financial, academic, or career advice. Information provided through the Service is for general informational purposes only. Consult qualified professionals for advice specific to your situation.

8. Intellectual Property

8.1 UniAtlas Property

The Service, including all software, algorithms, design, text, graphics, logos, icons, and other materials (collectively, "UniAtlas Content"), is the property of UniAtlas or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or UniAtlas Content without our express written permission.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial educational purposes.

8.3 Restrictions

You may not:

• Scrape, crawl, or use automated tools to extract data from the Service
• Reverse engineer, decompile, or disassemble any portion of the Service
• Use the Service to build a competing product or service
• Remove or alter any proprietary notices, labels, or marks
• Resell, sublicense, or commercially exploit access to the Service

8.4 DMCA Policy

If you believe that content on the Service infringes your copyright, please send a notice to our designated agent at legal@uniatlas.org including: (i) a description of the copyrighted work; (ii) the URL of the infringing material; (iii) your contact information; (iv) a statement of good faith belief; and (v) a statement under penalty of perjury that the information is accurate.

9. Prohibited Conduct

When using the Service, you agree not to:

• Violate any applicable law, regulation, or these Terms
• Use the Service for any commercial purpose without our written consent
• Attempt to gain unauthorized access to any part of the Service or its systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload viruses, malware, or other malicious code
• Impersonate any person or entity, or falsely claim an affiliation
• Harass, bully, or intimidate other users
• Use AI features to generate content for academic dishonesty or fraud
• Create fake reviews or manipulate ratings
• Circumvent usage limits, rate limiting, or access controls
• Collect personal information of other users without their consent

10. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources. These links are provided for convenience only. UniAtlas does not endorse and is not responsible for the content, accuracy, or practices of any third-party sites or services. Your interactions with third parties, including scholarship providers and educational institutions, are solely between you and those parties.

Certain features of the Service rely on third-party providers (such as AI model providers, payment processors, and analytics services). Your use of these features is also subject to the applicable third-party terms and policies.

11. Termination

11.1 By You

You may terminate your account at any time by contacting support or using the account deletion feature in your settings. Upon termination, your right to use the Service ceases immediately.

11.2 By Us

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in prohibited conduct, or if required by law. We may also terminate accounts that have been inactive for an extended period.

11.3 Effect of Termination

Upon termination, your license to use the Service is immediately revoked. We may delete your account data in accordance with our data retention policy described in the Privacy Policy. Sections of these Terms that by their nature should survive termination will survive (including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution).

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

UniAtlas does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any information, data, or content provided through the Service.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions may not apply to you, and you may have additional rights.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNIATLAS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL UNIATLAS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO UNIATLAS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if UniAtlas has been advised of the possibility of such damages. Some jurisdictions do not allow the limitation of liability for certain damages; in such jurisdictions, our liability is limited to the greatest extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless UniAtlas and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any rights of a third party.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at legal@uniatlas.org and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved this way.

15.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

15.3 Arbitration

If we cannot resolve a dispute informally, you and UniAtlas agree that any dispute arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration, rather than in court, except that either party may seek equitable relief in court for intellectual property disputes.

15.4 Class Action Waiver

You and UniAtlas agree that any dispute resolution proceedings will be conducted only on an individual basis and not as part of a class, consolidated, or representative action. If for any reason this provision is found unenforceable, the entire arbitration agreement shall be void.

15.5 Exceptions

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction. For users in jurisdictions where mandatory consumer protection laws apply, arbitration provisions shall not limit any rights you have under those laws.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Effective Date" at the top of this page and, for significant changes, by sending an email to the address associated with your account or by displaying a prominent notice within the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
